Terms and Conditions

Shaveh is a procurement and price comparison platform that helps organizations compare supplier pricing, manage purchasing, process invoices using AI-assisted OCR, and collaborate across organizational teams. These terms govern access to and use of the Shaveh website, mobile applications, and related services.

1. Agreement to these terms

By accessing or using Shaveh, you agree to these Terms and Conditions and our Privacy Policy. If you use Shaveh on behalf of an organization, you confirm that you are authorized to accept these terms for that organization.

2. The service

Shaveh provides organizational purchasing, price comparison, supplier, invoice, ordering, and related workflow tools. Features may vary by account, organization, device, plan, pilot arrangement, or location.

We may improve, change, suspend, or discontinue features where reasonably necessary. We will aim to avoid material disruption where practical.

3. Accounts and organization access

  • Provide accurate account and organization information
  • Keep login credentials and verification methods secure
  • Use only the roles and permissions assigned to you
  • Promptly report suspected unauthorized access
  • Ensure that users invited by your organization are authorized to access its information

4. Acceptable use

You may not misuse the service, interfere with its operation, attempt unauthorized access, upload unlawful or malicious material, infringe intellectual property or privacy rights, reverse engineer protected parts of the service except where law expressly permits, or use the service to mislead, defraud, or harm others.

5. Customer content

You retain ownership of information and documents submitted by you or your organization. You grant us the limited rights necessary to host, process, transmit, analyze, and display that content solely to operate, secure, support, and improve the service in accordance with our Privacy Policy.

You are responsible for ensuring that your organization has the right to submit and process the content it uploads, including personal, supplier, employee, customer, invoice, and pricing information.

6. AI, OCR, prices, and recommendations

Shaveh may use OCR, artificial intelligence, matching algorithms, and historical data to extract information, normalize products, compare prices, identify potential savings, and suggest actions. These outputs are estimates and operational aids, not guarantees.

You must review important information before approving orders, making payments, submitting accounting records, or relying on supplier, tax, price, availability, or delivery information. The organization remains responsible for its purchasing and financial decisions.

7. Suppliers and third-party services

Suppliers and third-party services are independent from Shaveh unless expressly stated otherwise. We are not a party to contracts between an organization and its suppliers and do not guarantee supplier pricing, stock, quality, delivery, performance, or payment terms.

The service may depend on hosting, communications, analytics, mapping, notification, document-processing, or AI providers. Their availability may affect the service.

8. Fees and payment

Paid services, implementation work, support, integrations, or additional usage may be governed by an order form, proposal, subscription, pilot agreement, or separate contract. If those terms conflict with these general terms, the signed commercial agreement controls for that subject.

9. Intellectual property

Shaveh and its software, design, branding, documentation, and service technology are protected by intellectual property laws. Except for the limited right to use the service under these terms, no rights are transferred to you. Customer content remains owned by the customer or its licensors.

10. Availability and warranties

The service is provided on an “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, uninterrupted operation, and error-free results. Nothing in these terms excludes rights that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, Shaveh will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, savings, data, business, goodwill, or opportunities arising from use of the service.

Where liability cannot be excluded, our aggregate liability relating to the service will be limited to the amount paid for the affected service during the 12 months before the event giving rise to the claim, unless a signed agreement or applicable law requires otherwise.

12. Suspension and termination

We may suspend or restrict access where necessary to protect the service, users, data, or third parties; investigate misuse; comply with law; address non-payment; or enforce these terms. You or your organization may stop using the service, subject to any separate commercial agreement.

13. Governing law

These terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Courts located in Israel will have jurisdiction, unless applicable law or a signed agreement requires a different forum.
